GENERAL TERMS AND CONDITIONS OF SALE AND WEBSITE USE

Last updated: November 27, 2025

  1. PREAMBLE, SELLER IDENTIFICATION AND COMMERCIAL POLICY

1.1. The Seller

This website, accessible at the URL https://www.donblasi.it/ (hereinafter, the “Site”), is exclusively owned and directly managed by the company: tenuteblasi S.R.L. Registered and Operating Office: Strada Statale 7 Ter Km 20+200, SNC Contact and customer service email: info@donblasi.it (hereinafter referred to as the “Seller”, “Donblasi”, “We” or the “Company”).

1.2. Nature of Service

The activity carried out through the Site consists of distance selling, via electronic means, of wine products, oil, alcoholic beverages and related accessories. These General Terms and Conditions of Sale (hereinafter “GTC”) govern the offer, submission and acceptance of purchase orders for products on Donblasi.it and do not govern, however, the provision of services or the sale of products by parties other than the Seller that may be present on the Site via links, banners or other hyperlinks.

1.3. Recipients

Our commercial policy provides for the sale of products to both final “Consumers” and “Professional” parties (B2B). However, specific clauses of these GTC (in particular the right of withdrawal and the legal guarantee of conformity) apply exclusively to the Consumer, as defined by Legislative Decree September 6, 2005, no. 206 (Consumer Code).

  1. DEFINITIONS

In order to ensure maximum transparency and understanding of the contractual text, the following binding definitions are provided:

  • “Customer” or “User”: Any party (natural or legal person) who accesses the Site, browses its pages and/or concludes a purchase contract.
  • “Consumer”: The natural person acting for purposes unrelated to any entrepreneurial, commercial, artisan or professional activity they may carry out.
  • “Professional” (or B2B): The natural or legal person acting in the exercise of their entrepreneurial, commercial, artisan or professional activity, or an intermediary thereof (e.g. restaurateurs, wine shops, distributors).
  • “Products”: All goods sold on the Site, including by way of example wines, sparkling wines, spirits, oil, gift packages and accessories.
  • “Order”: The irrevocable contractual proposal sent by the Customer to Donblasi through the Site’s electronic procedure.
  • “Order Confirmation”: The communication sent via email by Donblasi notifying acceptance of the Order and determining the conclusion of the Contract.
  • “Contract”: The distance sales agreement entered into between the Seller and the Customer.
  • “Carrier”: The express courier or freight forwarder responsible for the physical delivery of the goods.
  1. AGE VERIFICATION REGULATIONS (AGE GATE 2025)

3.1. Legal Prohibitions

In accordance with Italian legislation (art. 689 c.p., Law November 8, 2012 no. 189) and international law, the sale of alcoholic beverages is strictly prohibited to persons under 18 years of age. For users residing in countries with more restrictive regulations (e.g. USA), the age limit is raised to 21 years or the different threshold provided by local law.

3.2. Digital Identification Requirement (New AGCOM Regulations 2025)

Considering the regulatory evolution regarding the protection of minors online and the recent resolutions of the Authority for Communications Guarantees (AGCOM) that came into force in 2025, tenuteblasi S.R.L. adopts rigorous Age Assurance measures. We no longer consider self-declaration via simple click sufficient. Access to the purchase phase (Checkout) is subject to passing identity verification through certified systems such as:

  • SPID (Public Digital Identity System) Level 2+.
  • CIE (Electronic Identity Card 3.0).
  • IT Wallet / EUDI Wallet (European Digital Identity Wallet, in compliance with eIDAS 2.0 Regulation).

3.3. Procedure and Privacy

The check is carried out through a certified third-party Identity Provider. Donblasi will receive exclusively an outcome “token” (Positive/Negative) relating to legal age, without storing or viewing the User’s sensitive identity document data. Should the User refuse to undergo such verification or if it yields a negative result, the transaction will be blocked. The Customer declares to be aware that the use of others’ digital identities or age falsification constitute criminally prosecutable offenses.

  1. SUBJECT OF THE CONTRACT AND PRODUCT INFORMATION

4.1. Description and Images

Each Product is accompanied by an information sheet. However, the images and colors of the products offered for sale may not correspond to the actual ones due to the Internet browser and monitor used. In particular:

  • Bottle images are for illustrative purposes only.
  • Packaging (e.g. capsule color, bottle shape, label graphics) may undergo changes by the manufacturer without notice.
  • For wines, the binding vintage (year) is only that stated in the product description (e.g. “Primitivo di Manduria DOP 2018”). If the image depicts a different vintage (e.g. 2017), the written description prevails.

4.2. Allergens and Specifications All wines sold contain sulfites, as per mandatory label indication (EU Reg. 1169/2011). Any other allergens (e.g. egg or milk derivatives used for clarification) will be specified in the technical sheets where present in the finished product.

4.3. “Stand-by” Period (Until April 2026) The Customer acknowledges that the Site may operate in “Catalog” mode until the official e-commerce launch date scheduled for April 2026. During this period, prices may be visible but the cart functionality disabled. These Conditions shall be deemed fully effective and operational from the moment the Seller activates the ability to complete orders online.

  1. SALES PRICES, TAXES AND CUSTOMS DUTIES

5.1. Prices and Currency

All sales prices displayed on the Site are expressed in Euros (€) and constitute a public offer pursuant to art. 1336 of the Italian Civil Code. Prices are inclusive of VAT and any other tax applicable in Italy. Shipping costs are not included in the purchase price, but are indicated and calculated at the time of completing the purchase process before making payment.

5.2. Intra-EU Sales (B2B)

For Professional Customers residing in other European Union Member States and registered with VIES (VAT Information Exchange System), invoicing may take place under the VAT non-taxable regime (Reverse Charge) pursuant to art. 41 D.L. 331/93, subject to verification of the validity of the EU VAT number.

5.3. Extra-EU Sales and Duties (Important)

For shipments destined for countries not belonging to the European Union (e.g. Switzerland, United Kingdom, USA, Japan), the price paid to Donblasi covers exclusively the cost of the goods and transport to the destination border. Warning: Any customs duty, import tax, local excise duty on alcohol or administrative charge required by the authorities of the destination country is the exclusive responsibility of the Customer/Recipient. Donblasi has no control over such costs and cannot predict their amount. If the Customer refuses delivery to avoid paying duties, the goods will return to our warehouses and we will refund the order amount less outbound shipping costs, return shipping costs and all customs costs incurred for the return.

  1. CONTRACT CONCLUSION AND ORDER MANAGEMENT

6.1. Purchase Procedure

The Contract is formed exclusively through the internet. To complete the purchase, the Customer must fill out the order form in electronic format and transmit it to the Seller, following the relevant instructions. Before proceeding with the transmission of the order form, the Customer will be required to identify and correct any data entry errors.

6.2. Contract Completion

The order sent by the Customer has the value of a contractual proposal and entails complete knowledge and full acceptance of these GTC. The Contract is deemed concluded when Donblasi sends the Order Confirmation to the Customer’s email address, containing a summary of the conditions. We reserve the right, at our sole discretion, not to accept the order if:

  • The ordered products are no longer available, even temporarily.
  • There are fraud reports relating to the credit card or identity.
  • The order comes from a party with whom a legal dispute is ongoing.
  • The displayed price is clearly incorrect due to technical error (so-called recognizable mistake).

6.3. Product Availability

Product availability refers to actual availability at the time the Customer places the order. However, such availability must be considered purely indicative because, due to the simultaneous presence of multiple users on the site, products may be sold to other customers before order confirmation. In case of partial or total unavailability of goods, the Customer will be immediately informed and may decide whether to accept delivery of only available products, obtain a full refund or wait for restocking.

  1. PAYMENT METHODS AND RETENTION OF TITLE

7.1. Accepted Methods

We accept payments via:

  • Credit/Debit Cards: (Visa, Mastercard, American Express). Transactions are encrypted via SSL/TLS protocol and managed by secure payment gateways (e.g. Stripe, Nexi). Donblasi never stores complete card data.
  • PayPal: With immediate charge at the time of order.
  • Advance Bank Transfer: In this case, the order will remain in “Pending” status until actual credit to our bank account (usually 1-3 business days). The payment reference must include the order number. If the transfer is not received within 5 business days, the order is automatically cancelled.

7.2. Retention of Title

In case of deferred or non-simultaneous payment (e.g. Bank Transfer), the goods remain the exclusive property of tenuteblasi S.R.L. until full payment of the price, shipping costs and any ancillary charges (Art. 1523 Italian Civil Code).

  1. SHIPPING, DELIVERY AND TRANSFER OF RISK

8.1. Secure Packaging

We ship wine using exclusively certified and patented packaging (e.g. polystyrene or double-wave reinforced cardboard wine cases such as “EWINE SECURE PACK”) designed to protect bottles from impacts and accidental temperature changes during transport.

8.2. Delivery Times

Delivery times indicated on the site are estimates based on average processing and transport times (e.g. Italy 24/48h, Europe 3/5 days). Donblasi assumes no responsibility for delays due to force majeure, carrier strikes, adverse weather conditions or customs blockages.

8.3. Transfer of Risk (Art. 63 Consumer Code)

  • For the Consumer Customer: The risk of loss or damage to goods, for reasons not attributable to the Seller, transfers to the Consumer only when the latter, or a third party designated by them and other than the carrier, physically takes possession of the goods.
  • For the Professional Customer (B2B): Risk transfers to the Customer at the moment of delivery of the goods to the carrier or freight forwarder at our warehouses (Ex Works delivery, unless otherwise agreed in writing).

8.4. Customer Obligations Upon Delivery – INSPECTION RESERVATION

This is a fundamental clause. Upon delivery of the goods by the courier, the Customer is required to carefully check:

  1. That the number of packages corresponds to what is indicated in the transport document.
  2. That the packaging is intact, not damaged, wet or otherwise altered (including the sealing tape).

In case of visible damage or anomalies (e.g. sound of broken glass, cardboard stained with wine), the Customer must:

  • Immediately contest the delivery to the courier.
  • Accept the goods by noting on the proof of delivery document the phrase “ACCEPTANCE WITH INSPECTION RESERVATION” specifying the reason (e.g. “wet package”, “missing package”).
  • Alternatively, reject the damaged goods.

Important: If the Customer signs the courier’s document without noting a written and specific reservation, they will not be able to raise any subsequent objection regarding the external characteristics of what was delivered and Donblasi will not be able to activate carrier insurance for reimbursement.

8.5. Storage

In case of non-delivery due to the recipient’s absence, the courier will leave a notice. After two unsuccessful attempts, the package will go into storage. If the goods are not collected within the indicated period (usually 5-10 days), the order will return to sender. Storage and return costs will be charged to the Customer and deducted from any refund.

  1. RIGHT OF WITHDRAWAL (RETURNS AND REFUNDS)

9.1. Exercise of Right (Art. 52 Consumer Code)

Only the Consumer Customer has the right to withdraw from the contract, without stating reasons, within 14 days from when they or a third party appointed (other than the carrier) acquires physical possession of the goods. To exercise the right of withdrawal, the Consumer must send us an explicit declaration (via email to info@donblasi.it or registered mail) of their decision to withdraw.

9.2. Exclusions (Art. 59 Consumer Code)

The right of withdrawal is excluded with regard to:

  • The supply of goods made to measure or clearly personalized.
  • The supply of goods that are liable to deteriorate or expire rapidly (including wines that have been opened by the consumer).
  • The supply of sealed goods which are not suitable for return for hygiene reasons or connected to health protection and have been opened after delivery.

9.3. Return Obligations

In case of withdrawal, the Customer must return the goods to tenuteblasi S.R.L. (at the operating office address) without undue delay and in any case within 14 days from the day they communicated the withdrawal to us. The direct costs of returning the goods are entirely borne by the Customer.

9.4. Refund

We will refund all payments received from the Consumer, including delivery costs (except for additional costs arising from any choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay. The refund may be suspended until receipt of the goods and verification of their integrity. The Customer is responsible for any diminished value of the goods resulting from handling other than that necessary to establish the nature, characteristics and functioning of the goods. Bottles must be returned intact, sealed, with seals and labels undamaged. We will not accept returns of bottles that have been uncorked or even partially consumed.

  1. LEGAL GUARANTEE AND DEFECT MANAGEMENT

10.1. Legal Guarantee

All products sold are covered by the Legal Guarantee of Conformity provided by arts. 128-135 of the Consumer Code. The Seller is liable to the Consumer for any lack of conformity existing at the time of delivery of the goods.

  1. LIMITATIONS OF LIABILITY

11.1. Use of the Site

tenuteblasi S.R.L. cannot be held liable for direct or indirect damages arising from use of the Site, including damage from computer viruses, malware or service interruptions due to technical causes.

11.2. Force Majeure

We shall not be liable for any failure or delay in performing our contractual obligations if such failure is caused by events beyond our reasonable control (“Force Majeure Events”), such as: strikes, lockouts, riots, invasions, terrorist attacks, wars, fires, explosions, storms, floods, earthquakes, epidemics, pandemics, or the impossibility of using public or private transport or telecommunications networks.

11.3. Quantitative Limitation (Cap)

Except in cases of willful misconduct or gross negligence, Donblasi’s total aggregate liability to the Customer for any loss or damage arising from the order shall in no case exceed the total price paid by the Customer for the product in question.

  1. INTELLECTUAL PROPERTY AND COPYRIGHT POLICY

12.1. Exclusive Rights

All content on the Site, including but not limited to text, documents, trademarks, logos, images, graphics, their arrangement, and adaptations, are protected by copyright and trademark laws (Industrial Property Code). The “DONBLASI” trademark, the “TENUTE BLASI” trademark, domain names, and any other distinctive signs present are the exclusive property of tenuteblasi S.R.L.

12.2. Prohibitions

The reproduction, in whole or in part, modification, transmission, republication, or unauthorized use of the Site’s content without the written consent of tenuteblasi S.R.L. is expressly prohibited. The use of framing, scraping, data mining, or similar techniques to extract or reuse substantial parts of the catalog or prices is also prohibited. Any violation will be prosecuted in the competent civil and criminal courts.

  1. PRIVACY AND COOKIES

The protection of our Customers’ personal data is a priority. Data collected (including that for age verification, which is processed but not stored except for the outcome) is managed in accordance with EU Regulation 2016/679 (GDPR). For full details, please refer to the specific Privacy Policy and Cookie Policy accessible from the Site’s footer, which form an integral part of these Conditions.

  1. APPLICABLE LAW, DISPUTE RESOLUTION, AND JURISDICTION

14.1. Applicable Law

The sales contract between the Customer and tenuteblasi S.R.L. is deemed concluded in Italy and governed by Italian Law. The application of the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) is expressly excluded.

14.2. ODR Resolution (EU Consumers)

Pursuant to Art. 14 of EU Regulation 524/2013, we inform Consumers residing in Europe that the European Commission has established an online platform for alternative dispute resolution (ODR), which can be consulted at https://ec.europa.eu/consumers/odr/.

14.3. Jurisdiction

  • For Consumers: Any dispute relating to the application, execution, interpretation, and violation of purchase contracts entered into “online” through the Site is subject to the mandatory territorial jurisdiction of the court of the place of residence or domicile of the Consumer, if located within the territory of the Italian State or the European Union.
  • For Professionals (B2B) and Extra-EU Customers: Any dispute between the parties regarding this contract shall be under the exclusive jurisdiction of the Court where tenuteblasi S.R.L. has its registered office (Italy), with express waiver of any other concurrent or alternative jurisdiction.

UNFAIR CLAUSES (Art. 1341 and 1342 of the Italian Civil Code)
